Terms of Service

Vatel – AI Voice Platform Operated by Devpro Media Inc.

These Terms of Service (“Terms”) govern your access to and use of the Vatel platform and related services. By accessing or using the Service, you agree to these Terms.

1. Introduction

These Terms of Service (“Terms”) constitute a binding legal agreement between Devpro Media Inc., operating as Vatel (“Vatel”, “we”, “us”, or “our”) and the individual or entity accessing or using the Vatel platform (“Customer”, “you”, or “your”).

These Terms govern access to and use of the Vatel AI voice platform, conversational agents, telephony integrations, APIs, dashboards, analytics tools, related software, and documentation (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

The “Effective Date” is the earlier of your acceptance of these Terms or your first access or use of the Service.

2. Eligibility and Acceptance

By using the Service, you represent and warrant that:

  • You are legally authorized to enter into binding agreements.
  • If acting on behalf of an entity, you have authority to bind that entity.
  • You will comply with all applicable laws and regulations, including telecom, privacy, consumer protection, and AI-related regulations.

You agree to receive communications electronically.

3. Provision of Services

3.1 License

Subject to compliance with these Terms and payment of applicable fees, Vatel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. No ownership rights are transferred.

3.2 Authorized Users

You may grant access to employees, contractors, or agents (“Authorized Users”). You remain fully responsible for their compliance with these Terms, their actions or omissions, and all usage under your account.

3.3 AI Nature of Service

You acknowledge that the Service uses artificial intelligence and machine learning models. AI-generated responses may be inaccurate, incomplete, misinterpreted, or contextually incorrect. The Service does not provide legal, financial, medical, insurance, or regulatory advice. You are solely responsible for reviewing and validating outputs before relying on them.

Vatel does not guarantee accuracy, truthfulness, or appropriateness of AI-generated content.

3.4 Telecom & Call Compliance

You are solely responsible for ensuring compliance with all applicable telecommunications and recording laws, including but not limited to CRTC regulations (Canada), TCPA (United States), GDPR (EU, if applicable), CASL (Canada Anti-Spam Legislation), and local consent-to-record laws.

You represent and warrant that you have obtained proper consent for call recording where required, have lawful basis to contact call recipients, and are authorized to route and process calls via integrated PBX systems.

Vatel is a technology provider only and is not the originator of calls unless explicitly agreed in writing.

3.5 Third-Party Integrations

The Service may integrate with third-party platforms (e.g., PBX systems, CRM systems, telephony carriers, payment providers). Vatel is not responsible for downtime caused by third-party systems, carrier routing failures, API limitations, billing discrepancies from telecom providers, or changes to third-party policies. Use of third-party services is at your own risk and subject to their terms.

3.6 Modifications

We may modify, enhance, suspend, or discontinue any aspect of the Service at any time. Continued use constitutes acceptance of modifications.

4. Data & AI Processing

4.1 Customer Data

You retain ownership of all data submitted to the Service (“Customer Data”). You grant Vatel a limited license to process, store, transmit, and analyze Customer Data solely to provide, secure, and improve the Service.

4.2 AI Model Improvement

You grant Vatel a non-exclusive, royalty-free right to use anonymized and aggregated data to improve models, train AI systems, enhance performance, and develop new features. No personally identifiable information will be used for model training unless explicitly agreed.

4.3 Data Security

Vatel implements commercially reasonable security safeguards but does not guarantee absolute security. You are responsible for proper configuration, access control, and secure credential management.

5. Fees & Billing

5.1 Fees

Fees are defined in an Order Form or subscription plan. Unless otherwise stated, all fees are non-refundable and billed in advance.

5.2 Usage & Overage

If your plan includes usage limits (e.g., call minutes, AI processing, storage), usage exceeding included limits will incur overage charges at the rates defined in your Order Form. You authorize automatic billing of overages. We may suspend service if usage is excessive or abusive.

5.3 Late Payment

Invoices are due within 30 days. Late payments may accrue interest at 1.5% per month or the maximum permitted by law. Accounts unpaid beyond 30 days may be suspended without liability.

6. Term & Termination

6.1 Term

These Terms remain in effect for the duration of your subscription. If on a fixed term, subscriptions auto-renew unless cancelled prior to renewal.

6.2 Suspension Rights

We may suspend access immediately if you violate these Terms, fail to pay, your usage poses security, legal, or reputational risk, or suspension is required by law or a telecom provider.

6.3 Data After Termination

We will retain Customer Data for 30 days after termination unless otherwise required by law. After 30 days, data may be permanently deleted.

7. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable safeguards. Confidential information excludes publicly available or independently developed information.

8. Intellectual Property

All rights, title, and interest in the Service, including software, AI models, conversational logic, APIs, and branding, remain the exclusive property of Devpro Media Inc. No rights are granted except those explicitly stated.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

VATEL DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND CONTINUOUS AVAILABILITY.

We do not guarantee uninterrupted service, error-free AI responses, call routing success, or third-party uptime.

10. Indemnification

10.1 By Customer

You agree to indemnify and hold Vatel harmless from claims arising from your violation of telecom laws, unlawful call activity, failure to obtain recording consent, Customer Data content, or misuse of AI outputs.

10.2 By Vatel

Vatel will indemnify you against third-party intellectual property infringement claims arising solely from your authorized use of the Service.

11. Limitation of Liability

To the fullest extent permitted by law, Vatel shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, reputational harm, business interruption, or regulatory fines.

Total aggregate liability shall not exceed the fees paid by you in the three (3) months preceding the claim.

Certain jurisdictions may not allow limitations; in such cases, liability is limited to the maximum extent permitted by law.

12. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Disputes shall be resolved exclusively in the courts of Montreal, Quebec.

13. Publicity

Vatel may reference Customer name and logo for marketing purposes unless Customer provides written opt-out. Case studies require explicit written approval.

14. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including carrier outages, infrastructure failures, cyber incidents, or governmental action.

15. Miscellaneous

If any provision is found unenforceable, remaining provisions remain valid. Failure to enforce any provision does not constitute waiver.
